These Terms & Conditions ("Terms") govern your access to and use of PragyaXchange (the "Platform"), operated under the name "Pragyasuite Technologies" ("we", "us", "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
Pragyasuite Technologies is not yet a formally incorporated legal entity — the Platform is currently operated by its founder(s) under this trade name. These Terms apply to that operator in its current form and will be updated to reflect the incorporated entity once registration is complete, without materially changing your rights under this agreement.
The Platform is intended for use by manufacturing, industrial, and trading businesses and their authorized representatives who are at least 18 years old and legally capable of entering into binding contracts. By using the Platform, you confirm that you meet these requirements.
Access to most features requires verifying your mobile number via a one-time password (OTP). You are responsible for maintaining the confidentiality of access to your registered mobile number and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized use of your account.
PragyaXchange is an intent board and discovery platform — it allows businesses to post buying/selling/capacity requirements and to discover and connect with each other. We are an intermediary that facilitates introductions; we are not a party to, and do not guarantee, broker, or warrant, any transaction, deal, or agreement made between businesses using the Platform. All negotiations, pricing, quality, delivery, payment, and contractual terms are solely between the businesses involved.
Businesses may submit their GSTIN for manual verification, resulting in a "GST Verified" badge. This verification confirms only that we have manually reviewed the submitted GSTIN details at a point in time — it is not a guarantee or certification of a business's legitimacy, creditworthiness, product quality, or ability to fulfil any transaction. You should independently verify any counterparty before entering into a business arrangement.

You retain ownership of the content (listings, descriptions, images, business information) you submit. By posting content on the Platform, you grant Pragyasuite Technologies a non-exclusive, worldwide, royalty-free license to host, display, and distribute that content as necessary to operate the Platform (e.g. showing your listing in search results or on your business profile).
We reserve the right to suspend, disable, or terminate your account, or remove/disable any listing, at our discretion, if we reasonably believe you have violated these Terms, engaged in fraudulent or abusive behavior, or for any other reason we deem necessary to protect the Platform and its users. Where practical, we will attempt to notify you of the reason.
You may stop using the Platform, or request deletion of your account, at any time by contacting us (see our Grievance & Contact page).
The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.
We do not verify, endorse, or guarantee the identity, legitimacy, creditworthiness, or business practices of any user, beyond the limited manual GSTIN check described in Section 4.
To the maximum extent permitted by applicable law, Pragyasuite Technologies and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or in connection with your use of the Platform, any transaction between users, or any listing/content posted by another user — even if we have been advised of the possibility of such damages.
You agree to indemnify and hold harmless Pragyasuite Technologies, its officers, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Platform, your content, your violation of these Terms, or your violation of any rights of a third party.
The Platform, including its design, logos, and underlying software, is the property of Pragyasuite Technologies and is protected by applicable intellectual property laws. You may not copy, modify, reverse-engineer, or create derivative works of the Platform without our prior written consent.
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any disputes arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts located at Pune, Maharashtra, India.
We may update these Terms from time to time. We will post the updated version on this page with a revised "Last updated" date. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
